Nicolas Mordaunt-Crook is partner at PwC Société d’Avocats and heads the legal section of the Financial Services practice, which covers regulatory and transactional aspects alike. 

Both French and English, Nicolas is a qualified lawyer (avocat) who joined PwC after practicing banking and financial law at Freshfields and Lefèvre Pelletier & associés (a prominent French law firm). 

Previously, Nicolas also worked for a consumer finance institution (Cofidis) and started his career with ASF (Association Française des Sociétés Financières), the French trade association for financing companies and specialized banks.

Advice and assistance relating to:

  • provision of banking / payment / investment / fund management (UCITS and AIF environments) / insurance services in France, implementation of relevant EU passports (cross border and branch) 
  • drawing up and filing applications for different types of financial regulated activities (banks, investment firms, portfolio management companies), including Brexit-driven
  • drafting and negotiation of financing arrangements (bilateral and syndicated loans, subordination agreements and associated security package) and of investment services and related (e.g custody or securities accounts) agreements
  • review and / or negotiation of securities lending agreements, ISDA / FBF swaps / options, agreements with clearing members for settlement of OTC derivatives
  • regulatory requirements associated to commodity futures transactions under EMIR and MiFID II
  • banking reorganization schemes (including on a cross border basis) involving corporate, contractual and regulatory issues (conversion of banking subsidiaries into cross border branches, business contributions, transfer of assets / loan portfolios etc.)
  • marketing, including on a cross-border basis, of banking, electronic money, financial and insurance products (canvassing / solicitation), setting up of banking / payment services and insurance intermediaries
  • outsourcing of loan servicing functions, including to foreign group entities (drafting of agreements and regulatory issues)
  • banking and payment services regulatory litigation
